He Fen has extensive experiences in onshore and offshore PE/VC fund formation matters and the PE funds’ downstream investment transactions. She also specializes in M&A transactions, restructuring and non-performing asset matters. 

He Fen has advised on fund formation for numerous PE/VC funds, including China Resources Capital, China Mobile, and CMC.  She has also represented clients such as China Chengtong, Sinopec Capital, BOC International, Centurium Capital, Hopu Fund, and Alibaba on domestic and cross-border PE investments and M&A transactions.  The deal acted for CMC, in its formation of a PRC onshore PE fund and an offshore holding company to raise billions of RMB from Tencent, Alibaba and others to invest in media and culture industries was shortlisted as a finalist for ALB Hong Kong M&A Deal of the Year 2016.

 Acted for Greater Bay Area Homeland Investments Limited in its formation of a Hongkong Limited Partnership Fund

 Acted for CR Capital in its formation of a RMB fund to acquire the controlling shares of Dirui Industrial Co.,Ltd, a public company listed at GEM (stock code: 300396).

 Acted for Huafang Capital in its formation of several RMB funds to invest into medical related industry.

 Acted for CMC, one of China's top media and entertainment investors, in its formation of a PRC onshore PE fund and an offshore holding company to raise billions of RMB from Tencent, Alibaba and others to invest in media and culture industries (this deal was shortlisted as a finalist for ALB Hong Kong M&A Deal of the Year 2016).

 Acted for Ping An Fortune on its formation of a PRC onshore fund and its investment into a US focused real estate fund established in the Cayman Islands in the amount of RMB300 million.

 Acted for a Hong Kong fund management company on its proposed formation of a RMB fund with a total commitment of RMB3 billion.

 Acted for one of China's largest telecommunication services providers on its proposed formation of  an RMB-denominated industry fund in Qianhai with a target total commitment of RMB5 billion.

Private Equity Investments and M&A

 Represented Huaxing Capital in investment in a logistics company established in Middle East.

 Represented Gaorong Capital in Series Angel investment in a sport equipment company.

 Acted for CMBI Health Innovation Fund II L.P. on its Series B investment in a biotechnology company.

 Acted for BOCI on its proposed investments or investments in various sectors, including: (i) its proposed investments into several medical related companies; (ii) its proposed investment in a NEEQ-listed internet advertising company in China; (iii) its proposed investment in a storage and logistic business in China; (iv) its proposed investment with a consortium of PE investors to privatize Giant Interactive Group Inc., a NYSE-listed China-based company; and (v) its pre-HK IPO investment into China Shengmu Organic Milk Limited.

 Acted for the offshore PE fund sponsored by Greenwoods Asset Management in its pre-HK IPO investments into Phoenix, a PRC healthcare and hospital management company.

 Represented Centurium Capital in investments in logistics, education, pharmaceutical and other sectors.

 Acted for the consortium led by Hopu's offshore USD fund in its proposed investment in Sinopec Marketing Co., Ltd.

Non-Performing Asset and Corporate Restructuring

 Acted for the four asset management companies in the acquisition of foreign currency non-performing asset packages, collateral includes equities of listed and non-listed companies, properties, equipment, lands, etc.

 Acted for Algoma Central Corporation and G3 Canada Limited as the creditors in the bankruptcy proceeding of Nantong Mingde Heavy Industries.
