2017年11月1日，由北京国枫律师事务所提供法律服务的山东鲁亿通智能电气股份有限公司（证券简称：鲁亿通，证券代码：300423）发行股份及支付现金购买资产并募集配套资金暨关联交易（以下简称“本次重组”）项目获得中国证监会上市公司并购重组审核委员会2017年第62次会议审核无条件通过。
本次重组中，鲁亿通以发行股份及支付现金的方式，购买广东昇辉电子控股有限公司（以下简称“昇辉电子”）100%股权，交易对价为200,000万元。昇辉电子主要从事电气成套设备、LED照明产品、智能家居系统等的研发、设计、销售等业务，本次交易完成后，昇辉电子将成为鲁亿通的全资子公司，上市公司的主营业务将在电气成套设备的研发设计、生产、销售的基础上，增加LED照明和智能家居产品业务，为上市公司的业务发展注入新的活力。
